The terms that apply when you use the MikirDigital website or engage us for services, whether you are based in India or another country.

1. Acceptance of Terms
These Terms of Service apply to the MikirDigital website and services for clients in India and other countries. In these terms, “we”, “us” and “our” refer to MikirDigital.
By using this website or engaging us for services, you agree to these terms. If you do not agree, please do not use the website or engage our services.
Read these terms alongside the proposal or agreement for your project. If any wording is unclear, contact us before accepting a proposal or making a payment.
2. Services and Project Scope
MikirDigital provides website design, web development, SEO, digital marketing, e-commerce, training and related services.
The scope of work, deliverables, timelines and fees for each project are defined in its proposal or agreement. Please review these details before accepting the project.
3. Client Responsibilities
To help the project progress, clients agree to do the following.
- Provide accurate information and the content needed for the agreed work.
- Provide the necessary access to relevant accounts and systems in a timely manner.
- Review work, provide feedback and give approvals at the agreed milestones.
Delays in providing required content, access or approvals may affect the project schedule.
4. Payment Terms
Payment amounts and due dates are specified in the project proposal or agreement. Projects typically require an advance payment, with the remaining balance due on completion or according to an agreed payment schedule.
Work may be paused if an agreed payment is overdue. If you have a question about an invoice or payment schedule, contact us using the details below.
5. International Clients
For projects involving clients outside India, the proposal or agreement will set out the arrangements below before work begins.
Billing Currency and Payment Methods
The proposal and invoice will identify the agreed billing currency and available payment methods. Please pay in the invoice currency unless we agree otherwise in writing. Prices displayed in Indian rupees on the website do not establish a fixed price in another currency.
Bank Fees and Currency Conversion
Banks and payment providers may apply transfer, intermediary bank or currency conversion charges. Responsibility for these charges must be agreed in the proposal or payment instructions before payment. Any conversion rate used by a bank or payment provider is determined by that provider.
Taxes and Required Deductions
The proposal or invoice will state whether applicable taxes are included or charged separately. Tax treatment depends on the transaction and applicable law. If you are legally required to withhold tax from a payment, notify us before payment and provide the relevant withholding documentation so that the invoice can be reconciled.
Communication and Time Zones
The project language, meeting times, approval deadlines and support availability will be agreed for the project. Scheduled meetings and delivery deadlines will identify the relevant time zone. The schedule will account for agreed working days and relevant public holidays.
Requirements for Your Target Markets
Tell us which countries or regions the project will serve and any specific language, accessibility, privacy or regulatory requirements before the scope is agreed. The proposal will identify the related work included in the project. Each party remains responsible for the legal obligations that apply to it.
Personal Data and International Access
If the project requires access to personal data about your customers, staff or users, the parties must agree their respective responsibilities and any required data-processing, security and international transfer arrangements before that data is shared. These website terms alone do not establish a legal basis for transferring personal data between countries.
6. Ownership and Licences
Unless otherwise agreed, ownership of the final website design and development work created specifically for the project transfers to the client after full payment.
Third-party software and assets, including plugins and images, remain subject to their respective licences. Payment for the project does not transfer ownership of those third-party products or remove their licence conditions.
7. Revisions and Additional Work
The number of included revision rounds is defined in the project proposal or agreement.
Additional revision rounds or work outside the agreed scope may involve extra charges. The applicable rate or additional fee should be stated in the proposal or agreed in writing before that work begins.
8. Limits of Liability
To the extent permitted by applicable law, MikirDigital is not liable for indirect, incidental or consequential damages. To the same extent, our total liability is limited to the amount paid for the specific service giving rise to the claim.
Nothing in these terms excludes or limits any liability, consumer right or legal remedy that cannot lawfully be excluded or limited.
9. Governing Law and Disputes
These terms are governed by the laws of India. Subject to applicable law, disputes are subject to the jurisdiction of the competent courts of Chennai.
For international clients, the choice of Indian law does not remove any mandatory protection that applies under the law of your country of residence or another applicable jurisdiction. Where mandatory consumer law applies, any cancellation, refund or other statutory rights under that law remain available.
The Chennai jurisdiction clause does not restrict any right to bring a complaint or claim before another court, tribunal or authority where that right is provided by mandatory law.
10. Privacy
Our Privacy Policy explains how we handle personal information collected through the website and communications about our services, and how to contact us about privacy.
